We are seeking a part-time Corporate Legal Counsel to join our
leadership team. This in-house legal role will report directly to
our CEO providing leadership, structure, advice. This person will
be a central focus for all legal matters within the company. This
position is part-time, estimated at 16-24 hours per week. We
envision some, but not all, of that time being in our HQ office in
Roseville, California, but the schedule will be flexible.
+ Provide legal counsel / advice and act as a business partner
for the companies Leadership Team.
+ Prepare minutes for board of directors and committee
+ Advise the CEO and other members of the leadership team on
business development activities including channel partner
agreements, merger and acquisition agreements and/or joint
+ Review, negotiate and draft sales, vendor, and employment
agreements/contracts on behalf of the Company.
+ Advise on potential legal risks, seeking outside counsel when
+ Provide advice, strategic support and education about
corporate governance and other corporate matters.
+ Work closely with Human Resources to develop internal policies
and procedures to ensure compliance with existing legislation and
preparing the Company for changing or emerging issues.
+ Oversee and manage litigation, administrative proceedings and
other regulatory proceedings as needed.
+ Oversee, manage, and work collaboratively on matters assigned
to outside counsel engaged to represent or assist the Company
including review, direction, and supervision of outside counsel's
+ A Juris Doctor or equivalent degree from a law school
accredited by the American Bar Association
+ Admission to the California bar with a current professional
licensure without any instances of suspension, revocation, censure,
or other adverse events in any jurisdiction
+ Minimum of 8-years relevant experience working in a large law
firm and/or in-house with a major firm.
+ Experience with general corporate matters
+ Strong interpersonal and presentation skills, along with the
ability to communicate effectively with others at all levels within
+ Strong negotiating skills with legal and financial/commercial
+ Ability to establish and maintain strong relationships across
+ Ability to work independently with little or no supervision in
a fast-paced, rapidly changing environment.
+ Demonstrated ability to identify legal risks, apply relevant
law and organizational policies, and develop effective strategies
for resolving or responding to the issues or risks.
+ Excellent written, verbal and listening communication skills,
including the ability to communicate complex legal concepts in a
clear, concise, and practical manner.
+ Extensive experience drafting contracts along with excellent
+ Ability to work independently with minimal hands-on
supervision, exhibiting good judgment in seeking guidance and
direction from outside counsel as needed.
+ Legally eligible to work in the United States without
sponsorship now or in the future.
+ Ability to successfully pass an in-depth background
investigation/credit check and pre-employment drug screen.
+ Experience working with a publicly traded company is highly
